1. Definitions

In these Terms and Conditions:

  • "Verdian", "we", "us", or "our" refers to Verdian, a company registered in Hong Kong SAR with offices at 42 Hennessy Road, Wan Chai, Hong Kong.
  • "Service" refers to the AI consultancy services described on our website, including supply chain intelligence, voice interface development, and AI compliance review.
  • "Client" or "you" refers to the organisation or individual accessing our website or engaging our services.
  • "Engagement Contract" refers to any written statement of work, proposal, or agreement entered into between Verdian and a Client for the delivery of services.
  • "Website" refers to the site accessible at verdiis.top.

2. Acceptance of Terms

By accessing the Website or engaging Verdian's services, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Website or engage our services.

You confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

3. Service Description

Verdian provides applied AI consultancy services to businesses operating in Hong Kong and the Asia-Pacific region. Our primary services are:

  • Supply Chain Intelligence: Data integration, demand modelling, and operational dashboards for logistics and distribution operations.
  • Voice Interface Development: End-to-end voice interface design, build, and testing for mobile, kiosk, and embedded applications.
  • AI Compliance Review: Assessment of AI deployments against applicable regulatory frameworks in Hong Kong, including PDPO, HKMA guidelines, and SFC requirements.

The specific scope, deliverables, timeline, and price for each engagement are defined in a separate Engagement Contract. These Terms apply in addition to any Engagement Contract unless expressly superseded by the written contract.

4. Website Use

You may use the Website to review information about Verdian's services and submit enquiries. You agree not to:

  • Use the Website in any way that is unlawful or causes harm to Verdian or third parties
  • Transmit unsolicited commercial communications via our contact form
  • Attempt to access systems or infrastructure underlying the Website without authorisation
  • Reproduce, distribute, or modify Website content without express written permission

5. Enquiries and Communications

Submitting an enquiry through our contact form does not create a contractual relationship. Verdian will respond to enquiries at its discretion. We reserve the right to decline any engagement enquiry without providing a reason.

6. Payment Terms

Where applicable under an Engagement Contract:

  • Invoices are issued in Hong Kong Dollars (HKD) unless otherwise agreed in writing.
  • Payment terms are net 14 days from invoice date unless specified otherwise in the Engagement Contract.
  • Late payments may attract interest at a rate of 1.5% per month on the outstanding balance.
  • Project commencement requires a deposit as specified in the Engagement Contract. Verdian reserves the right to suspend work pending receipt of overdue payments.

7. Intellectual Property

Unless otherwise agreed in the Engagement Contract:

  • All intellectual property created by Verdian during an engagement — including code, models, documentation, and methodology — transfers to the Client upon full payment of all invoices.
  • Verdian retains ownership of any pre-existing tools, frameworks, and methodologies ("Background IP") used in the delivery of services. The Client receives a non-exclusive licence to use Background IP solely as embedded in the deliverables.
  • Verdian may reference the engagement as a general capability example unless the Client requests otherwise in writing.

All Website content — text, design, and code — remains the property of Verdian and is protected under applicable intellectual property laws.

8. Confidentiality

Both parties acknowledge that confidential information may be exchanged during an engagement. Each party agrees to:

  • Keep confidential information secure and not disclose it to third parties without prior written consent
  • Use confidential information only for the purpose of the engagement
  • Return or destroy confidential information upon request or at engagement close

Confidentiality obligations survive termination of the engagement for a period of three years.

9. Disclaimers

Verdian's services are provided on a professional best-efforts basis. We do not guarantee specific business outcomes, regulatory approval, or system performance beyond the metrics agreed in the Engagement Contract. AI models and integrations are subject to the quality and completeness of data available at engagement time.

10. Limitation of Liability

To the fullest extent permitted by Hong Kong law:

  • Verdian's total liability for any claim arising from an engagement is capped at the total fees paid by the Client for that engagement.
  • Verdian is not liable for indirect, consequential, or incidental losses including lost profits, lost data, or business interruption.
  • These limitations apply regardless of the form of action, including contract, tort, or statute.

11. Termination

Either party may terminate an engagement with 14 days' written notice. Upon termination:

  • The Client pays for all work completed up to the termination date
  • Verdian delivers all completed work and documentation in its possession
  • Confidentiality and IP provisions survive termination

Verdian may terminate immediately if the Client materially breaches these Terms or the Engagement Contract and fails to remedy the breach within 7 days of written notice.

12. Dispute Resolution

In the event of a dispute, both parties agree to:

  1. Attempt informal resolution in good faith within 20 business days of the dispute arising
  2. If informal resolution fails, refer the dispute to mediation administered by the Hong Kong Mediation Centre
  3. If mediation fails, submit to the exclusive jurisdiction of the courts of Hong Kong SAR

These Terms are governed by the laws of Hong Kong SAR.

13. General Provisions

  • Entire agreement: These Terms, together with any Engagement Contract, constitute the entire agreement between the parties on the subject matter.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: The Client may not assign rights or obligations under an engagement without Verdian's written consent.

14. Changes to These Terms

Verdian may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Material changes will be communicated to active clients. Continued use of the Website or services after the effective date constitutes acceptance of the revised Terms.
